Agreeing to these terms

These Terms of Service ("Terms") are an agreement between you and PaperShieldAi LLC ("PaperShieldAi", "we", "us"). By joining our waitlist, creating an account, starting a trial or using any part of PaperShieldAi (the "Service"), you agree to these Terms and to our Privacy Policy and Risk Disclosure. If you don't agree, don't use the Service.

You must be at least 18 years old and able to form a binding contract to use the Service.

What PaperShieldAi is

PaperShieldAi is software for designing and testing trading strategies. It lets you describe strategies in plain English or write them in code, test them on historical and simulated data, run them on paper ledgers against live market data, and, on plans that offer it, connect your own brokerage account to execute trades under limits you set.

PaperShieldAi is not a broker, a dealer, an investment adviser or a commodity trading advisor, and nothing in the Service is investment, financial, legal or tax advice. Strategies, rankings, scores and AI-generated content are tools to help you test your own ideas. You alone decide whether and how to trade.

Paper trading and simulated results

Most of the Service runs on paper ledgers and simulated or historical data. Paper and simulated results are hypothetical, do not represent actual trading and may differ greatly from what would happen with real money. See our Risk Disclosure.

Live trading through your own broker

Where live execution is offered, orders are sent to your own brokerage account using credentials or API keys you provide. You are responsible for your brokerage account, every order placed in it, the limits you set and for monitoring your positions. We never hold your money or securities. Connection failures, data delays, broker outages, software errors and market conditions can cause orders to be delayed, rejected, filled at unexpected prices or not cancelled. You accept these risks when you turn on live trading, and you can turn it off at any time with the kill switch.

Your account

Keep your login details, PIN and broker credentials secure, and tell us right away at support@papershieldai.com if you think your account has been accessed without permission. You are responsible for activity under your account. Give us accurate information and keep it up to date.

Trials, subscriptions and billing

• Free trial. The Tester trial lasts 30 days and doesn't require a payment card. Nothing is charged when it ends. If you don't choose a plan, your tournament stops when the trial ends and we keep your strategies and results for 14 days. If you subscribe within those 14 days, everything is restored. After that, your trial account and its data are permanently deleted and can't be recovered.
• Subscriptions. Paid plans are billed in advance, monthly or yearly, and renew automatically until you cancel. Prices are shown before you subscribe and may change with at least 30 days' notice.
• Cancelling. You can cancel any time from your account page. You keep access until the end of the period you paid for. Except where the law requires, payments are not refundable and we don't give credits for partial periods.
• AI credits. Each AI strategy build or rebuild uses one credit. Monthly credits reset each billing period and don't roll over. Purchased top-up credits expire 90 days after purchase. Credits have no cash value.
• Taxes. Prices don't include taxes unless stated. You are responsible for any taxes that apply.

Your strategies and content

You own the strategies, ideas, code and other content you put into the Service ("Your Content"), including strategies the AI generates from your descriptions. You give us a limited licence to store, run, back up and display Your Content only to operate and improve the Service for you. We don't sell Your Content, and we don't share your strategies with other users unless you choose to post them in the community.

You agree we may use anonymised, aggregated statistics that don't identify you or your strategies (such as the total number of strategies tested) to describe the Service.

Acceptable use

You agree not to:

• use the Service for anything unlawful, including market manipulation or trading on inside information;
• upload code designed to harm the Service, other users or any system, or try to break out of the strategy sandbox;
• copy, resell, redistribute or publicly display market data received through the Service, or share your account;
• reverse engineer, scrape or overload the Service, or get around usage limits;
• use the Service to give trading advice to others or to manage other people's money without the licences that requires.

Brokers, data providers and other services

The Service connects to third parties such as Interactive Brokers, Coinbase and other brokers or data providers you choose. Your use of them is governed by their own terms, and market data is generally licensed for your personal, non-professional use. You are responsible for any fees they charge, including market data subscriptions. We aren't responsible for their services, outages or changes.

Text messages (SMS)

If you opt in, PaperShieldAi will send text messages about your early access, launch updates and account alerts to the mobile number you provide. Message frequency varies. Message and data rates may apply. Reply STOP at any time to stop receiving texts, or HELP for help. You can also email support@papershieldai.com. Opting in is not a condition of joining the waitlist or of any purchase. Mobile carriers are not liable for delayed or undelivered messages. See our Privacy Policy for how we handle your number.

Referral offer

When you join the waitlist you receive a personal referral code and link. If a friend joins using your link and then starts a paid subscription, you and that friend each become eligible for 30% off the monthly price of a PaperShieldAi subscription for as long as that subscription stays active without a break. Your own discount applies to your paid monthly subscription, starting from the next billing period after your friend's first payment.

• The discount applies to monthly plan prices only, not to annual plans, add-ons or AI credit top-ups.
• One referral discount per person and per account. It can't be combined with other offers unless we say so.
• The referred friend must be a new person who hasn't joined before. Self-referrals, duplicate or fake sign-ups don't qualify, and we may cancel discounts gained that way.
• If a subscription is cancelled or lapses, its discount ends and doesn't come back on a new subscription.
• The discount has no cash value and can't be transferred. We may end the program for new sign-ups at any time, but discounts already earned stay in place for active subscriptions.

Community

Members with an active subscription can use the PaperShieldAi community to post discussions, pages, strategies and code. You keep ownership of what you post, and you give other members a licence to view, discuss and use it for their own testing within PaperShieldAi.

• Community posts are the opinions of members, not advice from PaperShieldAi, and shared strategies come with no guarantee of results.
• Don't post anything illegal, abusive, misleading or spammy, other people's private information, code you don't have the right to share, or market data.
• Don't sell signals, run paid groups or promote other services in the community without our permission.
• We may remove posts and suspend community access for anyone who breaks these rules.

Our software

The Service, including its software, design, text and branding, belongs to us or our licensors and is protected by law. We give you a limited, non-exclusive, non-transferable right to use it under these Terms while your account is active.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DON'T WARRANT THAT THE SERVICE, ITS DATA OR ANY STRATEGY WILL BE ACCURATE, UNINTERRUPTED, ERROR-FREE OR PROFITABLE.

Limit of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY TRADING LOSSES, LOST PROFITS, LOST DATA OR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR $100 IF GREATER.

Indemnity

You agree to defend and compensate us for claims, losses and costs (including reasonable legal fees) that arise from your use of the Service, your trading, Your Content or your breach of these Terms.

Suspending or ending your account

You can close your account at any time. We may suspend or close accounts that break these Terms or put the Service, other users or third parties at risk. Sections that by their nature should survive (such as disclaimers, limits of liability and indemnity) continue after your account ends.

Changes to these terms

We may update these Terms. If a change is material, we'll tell you by email or in the Service before it takes effect. Continuing to use the Service after that means you accept the updated Terms.

Governing law

These Terms are governed by the laws of the State of Texas, United States of America, without regard to its conflict-of-law rules. Disputes will be resolved in the state or federal courts located in the State of Texas, and you and we consent to their jurisdiction.
